RECLAIMED TILE TERMS AND CONDITIONS

These are the terms and conditions governing the sale of clay roof tiles and accessories (“Goods”) by the Northern Roof Tiles US Inc (“Seller”) to the purchaser of the Goods and anyone claiming through the purchaser (collectively “Buyer”).  No modification of these terms and conditions shall be effective unless the modification is in writing and signed by Seller and Buyer.

REQUESTS/PROCUREMENT

Northern Roof Tiles US Inc offers for resale new and reclaimed clay roofing tile, concrete roofing tile, correlating trim accessories, natural roofing slate, handmade roofing slate, snow guards, fasteners, and various correlating tools pertaining to tile and slate roofing. All material requests are recommended to be accompanied by emailed, texted and/or USPS mailed photographs and/or physical samples of the material being requested. Requests in which photos and/or samples are waived, it is the sole responsibility of the requestor to ensure accuracy regarding proper material identification, color, surface texture, special characteristics, trim accessories, and correct quantities being requested. Northern Roof Tiles US Inc assumes no responsibility in mis-identified materials, inaccurate quantities, return shipments and future material requests as a result.

CONDITION/COLOR (RECLAIMED)

In requesting reclaimed materials, Northern Roof Tiles US Inc cannot guarantee that each piece of tile, slate, and/or trim accessory will be fully intact upon receipt of materials. It is to be understood that the purchaser is acquiring reclaimed materials and certain levels of chipping, cracking, and/or breaks can be expected. Northern Roof Tiles US Inc cannot guarantee the color and/or range of colors will match perfectly, and some variances are to be expected. The buyer assumes the responsibility of understanding that reclaimed materials are being acquired and assumes the risk of purchasing such materials.

CONDITION/COLOR (NEW)

Buyer acknowledges clay roof tiles are a natural product with variations in color, facial imperfections and warping caused in the drying process (collectively “Imperfections”). [Ref. section 5.3 of ASTM C1167-03: “The exposed tile surface shall be free of chippage or other imperfections detracting from the appearance of the designated sample when viewed from a distance 40ft under an illumination of not less than 50ft by an observer with normal vision.”] Buyer agrees to accept these Imperfections and the presence of the Imperfections shall not constitute a defect covered by the warranty nor give Buyer any right to return and/or request replacement of Imperfect Goods. As these tiles are a handcrafted and natural product, it is strongly recommended by Seller that all tiles from all pallets be blended before installation by the Installer to ensure proper blending i.e.: do not install “pallet by pallet.”  It is the responsibility of the Installer to check every pallet prior to commencing for significant color variations and to ensure proper blending.

WARRANTY

There is no warranty available for reclaimed materials. The purchaser of reclaimed materials understands that they are purchasing “as is” products. New tile product warranty is by manufacturer. Seller shall make available to Buyer and/or Buyer’s customer, the benefit of any manufacturer’s warranties which are transferable to Buyer and Buyer’s customer.  Except for any such warranties, THERE ARE NO WARRANTIES WHICH EXTEND BEYOND THE DESCRIPTION OF THE GOODS ON THE INVOICE.

PRICING

Requests for material pricing shall be done so on a per request basis. Pricing requests issued with a formal proposal will be honored for a period of 30 days. Proposals issued 30 days or later must be re-issued to verify accuracy of the materials being requested as well as freight charges. Post-sale adjustments such as material overages, shortages, local sales tax and/or unknown shipment charges may be added after shipment has occurred. In these cases, you will be notified by a representative concerning these adjustments.

APPLICABLE FEES

Some materials being requested may require packing, pallet, or other associated fees for smaller material requests and/or new materials direct from quarries and/or manufacturers.

ORDER PLACEMENT

The placement of an order shall be done so via signed and emailed, USPS mailed or faxed proposal along with initialed and dated terms and conditions form provided by Northern Roof Tiles US Inc. Payment in full and/or deposits can be requested prior to the shipment of materials. Some orders may be delayed if we do not receive these (2) necessary approved documents. It is the sole responsibility of the requestor to ensure Northern Roof Tiles US Inc has received these documents.

RETURNS

All sales are final and returns of purchased materials are not accepted.

PAYMENT TERMS

Payment terms are determined based upon client history, credit history, and material purchases. First time buyers, infrequent buyers, and high-risk buyers are to pay 100% of material and freight total upon acceptance of proposal. Frequent buyers as well as buyers purchasing large quantities of materials are required to send a deposit amount prior to the shipment of materials. These terms are determined on a per order basis. All orders that have been received by the client/consignee are due in full within 14 days upon receipt of materials. A monthly finance charge of 1.5% will be added to all amounts outstanding more than 14 days. Credit Cards are subject to a 4% Surcharge added to total balance. Buyer is responsible for reporting and paying any sales or use tax which may be due.

LEAD TIME

Upon receiving a confirmed order and deposit (if applicable), typical lead times of approximately 1 to 2 weeks or as noted in the “additional notes” portion of your proposal. All orders are packaged and shipped in the order they were received. Lead time does not include transit time (detailed below).

SHIPMENT INFORMATION

Upon placing an order for materials through Northern Roof Tiles US Inc, it is the buyer’s responsibility to provide accurate shipping details prior to confirming the order (company name, destination address, city, state, zip code, contact information, and whether the destination is a manned warehouse or residential/non-commercial). If the destination information is inaccurate, Northern Roof Tiles US Inc may charge the consignee with additional delivery charges for services rendered (i.e., residential/non-commercial, lift gate, notification, etc.). 

TRANSIT TIME

The shipment of packaged orders, approximate transit times vary depending on region and destination capabilities. LTL (less than truckload) transit times delivered to commercial locations are approximately 2 to 5 business days. LTL transit times delivered to non-commercial/residential locations are approximately 3 to 7 business days. Full load transit times are approximately 2 to 5 business days (commercial or non-commercial). Non-full load and/or non-LTL shipments are approximately 3 to 7 business days (UPS or FedEx). Container shipping and importation can change based on availability of space on ships, transit times, port unloading times and customs inspections. Northern Roof Tiles US Inc has no control over these conditions but will keep customer updated on all changes to delivery schedule.

MATERIAL INSPECTION

It is the sole responsibility of the consignee to completely inspect all materials received by Northern Roof Tiles US Inc upon delivery. Damage visible, before off-loading and without removing tiles from the pallet, must be reported to Seller within 24 hours of receipt of the Goods and must be noted when signing the trucking company’s delivery ticket.  Damage not visible, before unloading and without removing tiles from the pallet, must be reported to Seller within 72 hours of discovery of the damage but no later than fourteen (14) days after delivery.  Photographic evidence must be provided by Buyer to Seller of all damage claims; including a photo of the damage before off-loading if applicable. Seller assumes no liability for breakage from transportation selected by Buyer, breakage resulting from off-loading at the job site, breakage resulting from double stacking and breakage due to improper storage.  Upon request, Buyer shall preserve all damaged Goods for inspection by Seller or its designees.  The delivering freight company is solely responsible for any breakage during transit.

APPLICABLE LAW

This agreement shall be governed by and construed according to the laws wherein Northern Roof tiles US Inc branch supplying the materials hereunder is situated. Any action brought upon or by reason of this agreement shall be brought, in Northern Roof Tiles Us Inc sole discretion, either in a court with jurisdiction over the county in which Northern Roof Tiles Us Inc branch is located, in a court with jurisdiction over the county in which the project for which the materials are to be used is located, or in a court of before an arbitration panel where an action between Northern Roof Tiles US Inc and a third party is pending which concerns the subject matter of this agreement. Buyer agrees that, in any event any action is brought upon, or by reason of, this agreement by either buyer or Northern Roof Tiles Us Inc, and Northern Roof Tiles US Inc prevails, buyer shall pay all Northern Roof Tiles Us Inc reasonable attorney’s fees and other costs as a result of and in connection with such action.

FINAL NOTE

If any of these terms and conditions is determined to be unenforceable or invalid, the unenforceable or invalid part hereof shall be deemed severed and the remaining terms and conditions shall be carried out with the same force and effects as if the severed portions had not been part of the terms and conditions.  Any and all special agreements and conditions are only valid if exchanged between Buyer and Northern Roof Tiles US Inc
